Bylaws

ARTICLE I. Name

The name of this organization shall be the Visual Resources Association Upstate New York Chapter. Hereinafter referred to as the Chapter.

ARTICLE II. Purpose

The purpose of the Chapter shall be the support and professional enrichment of Chapter members. It will serve to encourage and support the professional association of the VRA.

ARTICLE III. Membership

  1. Organization will operate under current edition of Robert's Parliamentary Rules of Order.
  2. Eligibility. Membership is contingent upon membership in the VRA.
  3. Dues
    1. Dues shall be proposed by the members and ratified by member vote.
    2. The Chapter shall have the right to establish additional fees for specific projects upon approval of the membership.
  4. Privileges
    1. Only Chapter members may vote and/or hold elective office.
    2. All members shall be entitled to receive minutes, announcements of meetings, and other notices of general interest to the membership.

ARTICLE IV. Officers

  1. Chapter officers shall consist of at least four, those being a Chairperson, Chairperson Elect/Vice Chair, Secretary, and Treasurer.
  2. Office holders must be chapter members in good standing.
  3. The terms for office shall be two calendar years, staggered, with the Chair and Secretary elected the first year, and the Vice Chair and Treasurer elected the second year.
  4. Duties of Officers
    1. Chairperson
      1. The Chair shall be the representative of the Chapter on its official business, or shall designate a substitute.
      2. The Chair shall serve as program chair at chapter meetings and be responsible for duties normally associated with the position.
    2. Chairperson Elect/Vice Chair
      1. The Chair Elect shall assist the Chair in planning of meetings.
      2. The Chair Elect shall act for the Chair in all matters when the Chair is not available.
    3. Secretary
      1. The Secretary shall keep minutes of the Chapter meetings.
      2. The Secretary shall be responsible for correspondence.
      3. The Secretary shall maintain the Chapter mailing list.
    4. 4. Treasurer
      1. The Treasurer shall keep financial records.
      2. The Treasurer shall prepare a budget and present the membership with reports at each meeting.
      3. The Treasurer shall collect dues.

ARTICLE V. Elections

  1. Officers shall be elected by a plurality of votes cast by the members.
  2. A nominating committee of at least three members will be responsible for nominating a slate of officers and presenting them in written form to the Chapter.

ARTICLE VI. Meetings

  1. Chapter meetings shall be called by the Chairperson.
  2. Members may invite guests to meetings and encourage them to become members.
  3. The Chapter will have at least two meetings per calendar year.

ARTICLE VII. Amendments

  1. Amendments to the Bylaws may be submitted to the Chapter in writing by voting members.
  2. All proposed amendments to the bylaws shall be approved by the VRA executive board, prior to vote by chapter which shall require a 2/3 majority of voting members.
  3. The Bylaws shall be reviewed at least every five years.
